DEAR CLARE about committees

    The GB at my school appointed a committee to deal with redundancy procedures.However for one reason or another, one governor had to drop out and someone else took their place. Are the decisions of this committee binding as they are not the original committee as appointed by the GB and if not where do I find the relevant guidelines? Thanks

    why do you think they might not be binding? was the new member unsuitable in some way?

    i'm not aware of any guidelines about which governors should serve on which committee, but there should have been terms of reference laid down for this committee to follow, unless it was a 'working party' rather than a formal committee in which case the final decision should go back to the full governing body

    Three people were originally appointed. Three is the minimum for a quorum. If one person was replaced by another then there are only two members of the committee originally appointed by the GB.

    what do you feel should have happened? it's obviously impractical that the process should just stop until the next FGB meeting

    did you find their advice any more convincing?

    The School Governance (Procedures) (England)Regulations 2003, paragraph 24 (3) "The proceedings of a committee shall not be invalidated by- (a) any vacancy among their number; or (b) any defect in the appointment of any member of the committee."

    The regulations relating to general committees of the governing body are set out in the School Governance (Procedures) Regulations 2003, specifically Regulations 19 and 20, but committees dealing with staffing issues are covered by the School Staffing (England) Regulations 2009. In the case of general committees then the Regulations state that it is the governing body who determines the membership and terms of reference of the committee and this must be reviewed annually. The Staffing Regulations allow certain decisions to be delegated to the headteacher, one or more governors, or the headteacher. The fact that one member of the committee has stepped down and another one been appointed does not necessarily mean that the committee's decisions are invalid. The terms of reference for your committees may allow the committee to appoint an additional member in year if the committee falls below quorum. Alternatively, the Chair of governors may have used ‘Chair's action' (Regulation 6 of the Procedures Regulations) to appoint the committee member.
